Terms & Conditions

These terms govern your engagement with Suria Stream and the services we offer. We have written them in plain language where possible. If you have questions about anything here, please write to us at [email protected] before proceeding.

Definitions

Throughout this document, the following terms carry the meanings described:

  • "Agreement" — these Terms & Conditions, together with any written engagement or proposal accepted by the Client.
  • "We / Us / Our / Suria Stream" — Suria Stream, operating from Lebuh Light 24, 10200 George Town, Penang, Malaysia.
  • "Client / You / User" — the individual or organisation engaging Suria Stream's services.
  • "Service" — any AI integration advisory, workshop, pilot engagement, or review service delivered by Suria Stream.
  • "Deliverable" — any written output, integration, documentation, or summary produced as part of a Service.
  • "Confidential Information" — any non-public data, processes, or business information shared by either party during the engagement.
  • "Website" — the Suria Stream website accessible at https://suriastream.site.

Acceptance of Terms

By engaging Suria Stream's services — whether through a signed proposal, verbal confirmation, or payment — you indicate that you have read and accepted these Terms. Continued use of our website also constitutes acceptance of these Terms as they stand at the time of your visit.

To enter into an agreement with us, you must be at least 18 years of age and have the legal capacity to form binding contracts. If you are acting on behalf of an organisation, you represent that you have the authority to bind that organisation.

If you do not agree with any part of these Terms, we ask that you refrain from engaging our services and contact us at [email protected] to discuss your concerns.

Service Description

Suria Stream offers advisory and integration services in the field of AI adoption for businesses. Our current service offerings are:

Service A

Cultivation Session

A single-day on-site engagement covering an interview round, a short workshop, and a written summary delivered within seven days. Available in the Klang Valley and Penang.

Service B

Tended Pilot

A two-month engagement taking one candidate integration from concept to working deployment, including documentation and a structured handover.

Service C

Seasonal Review Cycle

A quarterly review for organisations with an existing AI footprint, including a written assessment, a leadership conversation, and a short list of suggestions.

Services are primarily delivered in Malaysia, with in-person sessions available in Penang and the Klang Valley. Remote engagement is available where suitable and agreed in writing.

User Responsibilities

For an engagement to proceed well, we ask that Clients:

  • Provide accurate information about your organisation, operations, and goals at the start of and throughout the engagement.
  • Appoint a point of contact who can facilitate access to the relevant team members and information required for the Service.
  • Review and respond to communications in a timely manner so that the engagement can proceed on the agreed schedule.
  • Use any Deliverables only for internal business purposes, unless otherwise agreed in writing.
  • Refrain from attempting to resell or sub-license any Deliverable or methodology to third parties without our written permission.
  • Comply with all applicable Malaysian laws in connection with your use of the Services and any Deliverables.

We will not be responsible for delays or reduced quality of output that arise from a Client's failure to fulfil these responsibilities.

Intellectual Property

All methodologies, frameworks, templates, and proprietary processes used by Suria Stream remain the intellectual property of Suria Stream. These are not transferred to the Client as part of any engagement.

The specific written Deliverables produced for a Client (such as assessment summaries, integration documentation, and pilot outputs) are licensed to that Client for internal use following full settlement of payment. This licence is non-exclusive and non-transferable.

Any materials you share with us in the course of an engagement remain your property. You grant us a limited licence to use those materials solely for the purpose of delivering the agreed Service.

The Suria Stream name, wordmark, and associated identifiers may not be used in any client's marketing or public materials without our prior written agreement.

Payment Terms

All fees are quoted and charged in Malaysian Ringgit (RM). Current service fees are:

  • Payment is due upon invoice, unless otherwise agreed in a written proposal. Standard payment terms are 14 days from invoice date.
  • We accept bank transfer (DuitNow/IBG) and other methods noted on the invoice.
  • Once an engagement is confirmed and preparation work has begun, cancellation by the Client within 72 hours of the session date will incur a cancellation fee of 50% of the service fee.
  • For the Seasonal Review Cycle, billing occurs at the start of each quarter. Cancellation may be made by either party with 30 days' written notice before the next billing period.
  • Prices are exclusive of any applicable taxes, including SST, where required by Malaysian law.

Service Delivery

Suria Stream will make reasonable efforts to deliver each Service on the schedule agreed at the time of engagement. Where delays arise from circumstances outside our control — including the availability of Client personnel or third-party systems — we will communicate changes promptly and work with the Client to reach a suitable rearrangement.

Any request to expand the scope of a Service beyond what was originally agreed will be assessed separately. We will provide a written note of any additional cost or time implication before proceeding.

The written summary for the Cultivation Session will be delivered within seven calendar days of the session date. Pilot integration timelines and quarterly review schedules are confirmed at the start of each engagement.

Confidentiality

We treat all information you share with us as confidential. We will not disclose your business information, operational details, or data to any third party without your written consent, except where required by applicable Malaysian law or regulation.

Similarly, we ask that you treat any proprietary methodologies, frameworks, and processes shared by Suria Stream during an engagement as confidential, and do not disclose them to third parties.

This mutual confidentiality obligation continues for two years after the conclusion of the engagement, unless the information has become publicly available through no fault of either party.

Disclaimers

Suria Stream provides advisory and integration services based on our assessment of your organisation at the time of engagement. We do not represent that any particular outcome, improvement, or business result will follow from implementing our suggestions.

AI tools and systems are subject to limitations, and their performance within any given business context depends on many factors outside our direct control. Our assessments represent our considered professional view, not a binding forecast.

Our services are not a substitute for legal, financial, or technical advice specific to your situation. Where such advice is appropriate, we recommend that you engage a qualified professional.

Limitation of Liability

To the extent permitted by Malaysian law, Suria Stream's total liability to a Client arising from any single engagement shall not exceed the fees paid by the Client for that engagement.

We will not be liable for any indirect, consequential, or incidental loss, including loss of revenue, loss of data, or loss of business opportunity, even if we were advised of the possibility of such losses.

Nothing in these Terms excludes or limits liability for fraud, death, or personal injury caused by negligence, as required by Malaysian law.

Indemnification

You agree to indemnify and hold Suria Stream and its representatives harmless from any claim, loss, or expense — including reasonable legal fees — that arises from your breach of these Terms, your misuse of any Deliverable, or any unlawful or unauthorised activity conducted by you in connection with our Services.

Termination

Either party may end an engagement by providing written notice. Where an engagement is terminated by the Client after preparation or work has begun, fees for work completed to that point remain payable.

Suria Stream may decline to continue or commence an engagement if a Client has acted in breach of these Terms, provided false information, or otherwise made it impracticable to continue.

Provisions related to confidentiality, intellectual property, payment for completed work, limitation of liability, and dispute resolution survive the termination of any engagement.

Dispute Resolution

These Terms are governed by the laws of Malaysia. Any dispute arising from an engagement with Suria Stream shall first be addressed through direct written communication between the parties, with a good-faith effort to reach an amicable resolution within 30 days.

If the matter is not resolved through informal discussion, either party may refer the dispute to mediation through the Malaysian Mediation Centre before pursuing formal legal proceedings.

Any formal proceedings shall be subject to the jurisdiction of the courts of Malaysia, with Penang as the agreed venue unless otherwise mutually agreed.

General Provisions

  • Entire Agreement: These Terms, together with any written proposal or engagement letter, constitute the full agreement between the parties for the relevant Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
  • Waiver: Our failure to enforce any provision at any time does not constitute a waiver of that provision or any other.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our obligations to a successor entity with notice to you.
  • Notices: Formal notices under these Terms should be sent by email to [email protected] or by post to Lebuh Light 24, 10200 George Town, Penang, Malaysia.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or operational practice. When we do, we will update the "Last Updated" date at the top of this page.

If you have an active engagement at the time of a material change, we will notify you directly by email. Continued engagement after the effective date of any update constitutes acceptance of the revised Terms.
